Terms of Service

1. Agreement to Terms
By creating an account, logging in, linking a membership, or otherwise accessing or using the tanniq platform (the "Services"), you agree to these Terms of Service ("Terms"). These Terms are a contract between you and tanniq, Inc. ("tanniq," "we," "us"). If you do not agree, do not use the Services.
2. What tanniq Offers
The Services currently include two features.
tanniq Discovery helps users discover winery tasting rooms, browse listings, and decide where to visit. Discovery is available without an account.
tanniq Club Membership lets users link eligible winery club memberships — managed through Commerce7 — to their tanniq account, so they can view and manage certain membership information in one place. Club Membership requires a tanniq account.
Some features may be experimental, available only to certain users or wineries, or subject to change. tanniq may add, modify, suspend, or discontinue features or integrations at any time.
3. Role of tanniq
tanniq is a discovery and membership-management interface, not a winery, retailer, distributor, seller, shipper, importer, or alcohol license holder.
Specifically:
- tanniq does not sell wine, fulfill wine shipments, or act as the merchant of record for any wine purchase.
- Wine club memberships, wine purchases, charges, fulfillment, refunds, cancellations, holds, releases, and substitutions are handled by the applicable winery and its systems, including Commerce7 where applicable.
- The applicable winery is solely responsible for all decisions relating to its products, pricing, membership terms, inventory, fulfillment, and policies.
This applies across all Services, including both Discovery and Club Membership.
4. Eligibility & Age Requirement
You must be at least 21 years old to use the Services. The Services are currently offered only in the United States.
5. Accounts & Authentication
tanniq accounts are created using a passwordless email magic link, Google Sign-In, or Apple Sign-In. By creating an account, you affirmatively agree to these Terms and our Privacy Policy.
You are responsible for maintaining the security of your account and for all activity that occurs under it. Please notify us promptly at support@tanniq.co if you believe your account has been compromised.
You agree to provide accurate and complete information when creating or updating your account. We reserve the right to suspend accounts that contain false or misleading information.
6. Your Relationship with Wineries
Each wine club membership is offered and administered by the applicable winery, not by tanniq. Your rights and obligations relating to a membership — including shipment timing, release schedules, cancellation policies, refund eligibility, product substitutions, holds, pickups, and billing — are determined by that winery and are not controlled or guaranteed by tanniq.
tanniq is not responsible for winery acts, omissions, policy changes, inventory decisions, fulfillment issues, or billing decisions. If you have a dispute about a wine club membership, order, shipment, charge, or refund, you should contact the winery directly.
7. Commerce7 Account Linking
To use Club Membership features, you must link your tanniq account to your Commerce7 account at one or more wineries. Linking is initiated via a link token provided by winery staff and confirmed by you.
By linking a Commerce7 account, you authorize tanniq to:
- Retrieve your account and membership information from Commerce7 and display it in tanniq.
- Transmit updates you initiate — such as address changes, payment method updates, fulfillment preference changes, shipment customizations, and cancellation requests — to Commerce7 on your behalf.
Linking does not guarantee that:
- All Commerce7 features or winery-specific workflows will be available through tanniq.
- Actions submitted through tanniq will be approved, processed, or honored by the winery if winery rules, timing windows, product availability, or Commerce7 functionality prevent it.
You can unlink by deleting your tanniq account. See Section 10 for account deletion terms.
8. Winery Deadlines and Processing Windows
Changes to memberships, payment methods, addresses, fulfillment preferences, shipment customizations, pauses, skips, or cancellations may be subject to winery deadlines, release schedules, processing windows, inventory constraints, or other winery-specific policies.
Requests submitted through tanniq may not affect charges or shipments that are already being processed by the winery at the time of submission. tanniq is not responsible for charges or shipments that occur after a request was submitted but before the winery processed it.
For time-sensitive changes, you should review the winery's policies and contact the winery directly to confirm that a requested change has taken effect.
9. Payments & Payment Methods
tanniq does not receive, process, or store full payment card numbers, CVV codes, or sensitive authentication data.
Payment credentials are collected and tokenized by Stripe, an authorized third-party payment provider. Where supported, tokenized payment information may be made available to the applicable winery through Commerce7 or another winery-controlled system.
Wineries — not tanniq — charge users for club shipments and wine purchases. Payment failures, billing retries, refunds, and charge disputes relating to wine purchases are handled by the applicable winery. tanniq stores only the last four digits of your card number for display purposes.
10. Account Deletion
You may request deletion of your tanniq account at any time by contacting us at support@tanniq.co or through account settings where available.
Deleting your tanniq account does not automatically cancel any winery memberships, orders, subscriptions, or shipments. You remain responsible for managing your winery memberships directly with each winery after account deletion.
tanniq may retain limited records after deletion as permitted or required for security, fraud prevention, legal compliance, dispute resolution, auditing, and enforcement of these Terms. See our Privacy Policy for details.
11. Alcohol Laws and Licensing
Wine sales and shipments are subject to applicable federal, state, and local laws. The applicable winery is solely responsible for legal compliance relating to alcohol sales, age verification, taxes, shipping eligibility, fulfillment, and delivery.
tanniq does not represent that any winery product or shipment is lawful in any particular jurisdiction.
12. Third-Party Services and Integration Reliability
The Services depend on third-party systems including Commerce7, Stripe, Firebase, Google, Apple, Postmark, Vercel, and mapping providers. These services may change functionality, impose their own terms, experience outages, delay or reject requests, or otherwise affect authentication, email delivery, payment updates, mapping, or membership synchronization.
Information displayed in tanniq — including membership status, order history, shipment details, and payment methods — may be delayed, incomplete, unavailable, or inconsistent with the winery's current records. The winery's records and policies control in the event of a conflict between what tanniq displays and what the winery has on file.
tanniq is not responsible for the terms, privacy practices, or service failures of third-party providers. Your use of those services is subject to their own terms and privacy notices.
13. Location-Based Features
Precise location is used only if you affirmatively permit it through your browser or device settings. You can revoke location permissions at any time through those settings. Some features may work differently or less accurately without location access. You can use Discovery without providing location.
14. Discovery Listings
Winery listings in tanniq Discovery may be based on information supplied by wineries, publicly available information, third-party data sources, or user interactions. We strive to keep listings current, but we do not guarantee that any listing is accurate, complete, or up to date.
Hours, amenities, reservation requirements, fees, wine availability, pet policies, and special events may not reflect current winery conditions and may change without notice. You should confirm material details directly with the winery before visiting.
15. Communications
By creating an account, you consent to receive transactional and service-related communications, including login links, security alerts, account notices, and membership-related operational messages.
Marketing communications are separate and subject to your notification preferences. You may opt out of marketing communications at any time through your account settings or by following the unsubscribe instructions in any marketing message.
tanniq is not responsible for delays or failures in communications caused by email providers, spam filtering, device settings, or third-party delivery failures.
16. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes:
- Interfering with or disrupting the Services or their infrastructure.
- Reverse engineering, scraping, or accessing the Services at scale using automated tools.
- Impersonating another person or organization.
- Using another person's account or link token without authorization.
- Attempting to access, enumerate, or probe membership data, APIs, or security controls beyond your authorized access.
- Interfering with winery listings or analytics integrity.
- Submitting malicious, misleading, or unauthorized organization content.
- Bypassing rate limits or access controls.
- Using the Services for unlawful purposes.
17. Winery and Organization Tools
tanniq may offer wineries and other businesses access to self-service tools including dashboards and listing management ("Organization Services").
Anyone using Organization Services represents that they have authority to act on behalf of the applicable winery or organization. tanniq may rely on that representation. If authority is disputed, tanniq may suspend or revoke organization access.
Organizations are responsible for the accuracy of submitted hours, photos, logos, descriptions, links, policies, and offers. tanniq may maintain unclaimed listings and may modify, disable, or remove claimed or unclaimed listings at its discretion.
Analytics and reporting provided through Organization Services — such as QR scans, page views, and link clicks — are directional only and may be incomplete, deduplicated, filtered, estimated, or delayed. Organizations should not rely on these metrics as the sole basis for business decisions.
If you submit content through Organization Services, you grant tanniq a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify for formatting, display, and distribute that content as necessary to operate and improve the Services. You represent that you have the rights to submit that content and that it does not violate applicable law or third-party rights.
18. Intellectual Property
The Services and their content are owned by tanniq or our licensors and are protected by applicable intellectual property laws. Winery names, logos, and trademarks belong to their respective owners. Unless you have our express permission, you may not copy, reproduce, or distribute content from the Services.
19. Termination
We may suspend or restrict access to the Services if we reasonably believe you have violated these Terms, created risk to tanniq or other users, or abused the Services. Termination does not affect any rights or obligations that arose before termination.
20. Disclaimers
The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
To the fullest extent permitted by law, tanniq expressly disclaims all warranties, including with respect to:
- The accuracy, completeness, or currency of winery listings.
- Winery availability, hours, or amenities.
- Uninterrupted or error-free access to the Services.
- Successful transmission of updates to wineries or Commerce7.
- Successful processing of cancellations, changes, or requests by wineries.
- Shipment timing, product availability, or winery fulfillment.
- Compatibility with third-party systems.
- Fitness for any particular purpose, including commercial purposes for organizations using dashboard tools.
21. Limitation of Liability
To the fullest extent permitted by law, tanniq will not be liable for indirect, incidental, special, consequential, or exemplary damages of any kind.
To the fullest extent permitted by law, tanniq's total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) $100 or (b) the total amount, if any, paid by you to tanniq in the twelve months preceding the claim.
This limitation applies to claims arising from, among other things: winery conduct or decisions; Commerce7, Stripe, or other third-party failures; lost or delayed data; failed or duplicate submissions; delayed or failed notifications; stale or inaccurate listings; interrupted access; or user reliance on analytics or winery information.
22. Indemnification
You agree to indemnify, defend, and hold harmless tanniq and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your misuse of the Services.
- Your violation of these Terms.
- Content you submit through the Services.
- Your infringement of third-party rights.
- Your unauthorized use of organization tools or another user's account.
- Your violation of applicable law or winery policies.
23. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in California to resolve any dispute arising from these Terms or the Services.
24. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and tanniq regarding the Services and supersede all prior agreements relating to the same subject matter.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. tanniq's failure to enforce any provision of these Terms is not a waiver of its right to do so in the future.
Assignment. You may not assign your rights or obligations under these Terms without tanniq's prior written consent. tanniq may assign these Terms in connection with a merger, acquisition, or sale of assets.
No Agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and tanniq, or between tanniq and any winery.
Force Majeure. tanniq is not liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.
Electronic Consent. You consent to receive these Terms and related notices in electronic form. Electronic records and signatures have the same legal effect as written records and signatures.
Survival. Sections 3, 6, 9, 10, 11, 18, 20, 21, 22, 23, and 24 survive termination of these Terms or your account.
25. Changes to These Terms
tanniq may update these Terms from time to time. Material changes will be communicated by posting updated Terms and, where appropriate, by email, in-product notice, or other reasonable means. Changes become effective on the stated effective date. Your continued use of the Services after that date constitutes acceptance of the updated Terms, except where additional consent is required by law.
